01 · Acceptance of terms
In plain English: by using Paitho, you agree to these terms. If you don't agree, don't use the product.These Terms of Service ("Terms") govern your access to and use of the products, services, and software (collectively, the "Service") provided by Paitho Labs, Inc. ("Paitho", "we", "us"). By creating an account, accessing the Service, or clicking a button indicating acceptance, you agree to be bound by these Terms. If you are accepting on behalf of a company, you represent that you have authority to bind that company.
If you do not agree to these Terms, you must not access or use the Service.
02 · Description of service
In plain English: Paitho researches accounts, drafts emails, and lets a human approve every send. We don't auto-blast. We don't own your domains or data.Paitho is a research and drafting platform for outbound communications. The Service ingests publicly available signals about accounts you select, generates per-lead briefs and draft messages, and routes those drafts to a human operator for review prior to sending. The Service does not auto-send messages without explicit human approval, and does not perform list scraping, bulk template blasting, or sender warmup.
The features available to you depend on the plan you select. We may add, change, or remove features over time; material changes are governed by Section 12.
03 · Account registration & one user per account
In plain English: one human per seat. No sharing logins. Keep your password safe.To use the Service you must register an account. You agree to provide accurate, current information and to keep that information up to date. Each account is for one (1) named individual user. You may not share account credentials or allow more than one person to use a single account. If you need additional users, you must add additional seats to your subscription.
You are responsible for all activity that occurs under your account, including drafts approved or sent by you. You must promptly notify us of any unauthorized access at security@paitho.ai.
04 · Acceptable use
In plain English: this product is for thoughtful outbound. If you came to spam, you'll be removed. Read the AUP for what counts as abuse.Your use of the Service is subject to our Acceptable Use Policy, which is incorporated into these Terms by reference. Violation of the AUP is a material breach of these Terms and may result in suspension or termination without refund.
In particular, you may not use the Service to send unsolicited bulk messages, to bypass unsubscribe signals, to impersonate any person, or to violate applicable anti-spam laws including but not limited to CAN-SPAM, CASL, and GDPR.
05 · Subscriptions, billing, and cancellations
In plain English: subscriptions auto-renew. Cancel anytime; you keep access through the end of the period you paid for. No refunds for partial periods.The Service is offered on a subscription basis with monthly or annual billing terms as selected at checkout. All fees are denominated in U.S. Dollars unless otherwise stated and are exclusive of applicable taxes.
Auto-renewal. Your subscription will automatically renew at the end of each billing period at the then-current rate unless you cancel before the renewal date.
Cancellation. You may cancel at any time from your account settings. Cancellation takes effect at the end of the current paid period. We do not provide refunds for partial periods, unused features, or downgrades, except where required by law.
Late payment. If a charge fails, we may suspend the Service until payment is resolved. Accounts unpaid for more than thirty (30) days may be terminated.
Price changes. We may change subscription pricing with at least thirty (30) days' notice prior to the next renewal. If you do not accept the new pricing, you may cancel before renewal.
06 · BYOK and AI credits
In plain English: if you bring your own LLM key, you pay your provider directly and Paitho is not on the hook for what they do. If you use Paitho-supplied AI credits, those are subject to fair-use limits.The Service supports two modes of LLM access:
- Bring Your Own Key (BYOK). You may supply API keys for third-party large language model providers (e.g. OpenAI, Anthropic, Google). When you use BYOK, your relationship with the LLM provider is governed solely by that provider's terms and pricing. Paitho is not a party to and assumes no responsibility for any obligations, fees, or liabilities arising under your agreement with the upstream LLM provider. You are responsible for maintaining valid keys, paying provider fees, and complying with provider terms.
- Paitho-supplied AI credits. Where offered, you may purchase AI credits from Paitho that we use on your behalf to access third-party LLM providers. These credits are subject to consumption limits, fair-use throttling, and expiration as documented in your plan. Unused credits do not refund and do not roll over indefinitely.
You acknowledge that LLM outputs are generated by third-party models and may contain errors, hallucinations, or material that requires human review prior to use. You are solely responsible for reviewing any draft before approval and sending.
07 · Intellectual property
In plain English: your prompts, your data, and your sent emails are yours. Our software, models, and product are ours.Your content. As between you and Paitho, you retain all right, title, and interest in and to: (i) the lead data, contact lists, and account inputs you upload; (ii) the prompts, angles, and instructions you author; (iii) the drafts you approve and the messages you send. You grant Paitho a limited, non-exclusive license to process this content solely to operate the Service for you.
Our content. Paitho retains all right, title, and interest in and to the Service, including the platform software, the user interface, the model orchestration logic, the vertical packs, and any documentation. Nothing in these Terms grants you any license to our trademarks, branding, or proprietary technology except as expressly stated.
Feedback. If you provide feedback, suggestions, or feature requests, you grant us a perpetual, royalty-free license to use that feedback to improve the Service.
Aggregated data. We may use de-identified, aggregated metrics derived from Service usage (e.g. average response rates per vertical) for product improvement and benchmark publishing. We will never publish data attributable to your account or your prospects.
08 · Confidentiality
In plain English: what you tell us in confidence stays in confidence. Same goes for what we tell you.Each party may disclose confidential information to the other in connection with the Service. The receiving party agrees to: (i) protect the disclosing party's confidential information using at least the same degree of care it uses for its own; (ii) not disclose confidential information to third parties except to employees, contractors, and sub-processors with a need to know who are bound by equivalent confidentiality obligations; and (iii) use confidential information only to perform under these Terms.
Confidentiality obligations do not apply to information that is or becomes public through no fault of the receiving party, was already known prior to disclosure, is independently developed, or is required to be disclosed by law (with prior notice to the disclosing party where permitted).
09 · Indemnification (mutual, capped)
In plain English: if your use of Paitho gets us sued for something you did, you cover us. If our software infringes someone's IP, we cover you. Both sides are capped.By you. You will defend, indemnify, and hold harmless Paitho and its officers, directors, employees, and agents from any third-party claim arising out of or related to: (i) your use of the Service in violation of these Terms or the AUP; (ii) the content of messages you approve and send; (iii) your violation of applicable law including anti-spam and data-protection law; or (iv) your infringement of any third party's rights.
By us. We will defend, indemnify, and hold harmless you from any third-party claim alleging that the Service, as provided by us and used in accordance with these Terms, infringes that third party's intellectual property rights. This obligation does not apply to claims arising from: (i) your modifications to the Service; (ii) your use of the Service in combination with software not provided by us where infringement would not have occurred but for the combination; or (iii) content you provided.
Cap. Each party's total indemnification obligation under this section is subject to the limitation of liability in Section 10.
Process. The indemnified party must promptly notify the indemnifying party of any claim, give the indemnifying party sole control of the defense and settlement, and reasonably cooperate. The indemnifying party may not settle a claim that imposes a liability or admission on the other party without prior written consent.
10 · Limitation of liability
In plain English: our maximum liability to you, for any reason, is what you paid us in the last 12 months. We're not on the hook for lost profits or indirect damages.TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:
- NEITHER PARTY WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
- EACH PARTY'S TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS WILL NOT EXCEED THE AMOUNTS PAID BY YOU TO PAITHO IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
The foregoing limitations do not apply to: (i) breach of confidentiality obligations; (ii) a party's indemnification obligations; or (iii) liabilities that cannot be limited under applicable law.
11 · Termination & data export window
In plain English: either side can end the agreement. After cancellation you have 90 days to export your data, then we delete it.By you. You may terminate by canceling your subscription. Cancellation takes effect at the end of the current billing period.
By us. We may suspend or terminate your account immediately if: (i) you materially breach these Terms or the AUP; (ii) your account remains unpaid for thirty (30) days; (iii) we are required to do so by law; or (iv) your continued use poses a security or reputational risk to the Service or other customers. We will give written notice and a reasonable cure period for non-payment and curable breaches where practical.
Data export window. For ninety (90) days after termination, you may export your account data in standard formats (CSV, JSON) via the Service or a written request to support@paitho.ai. After ninety (90) days, we will delete your account data from production systems within thirty (30) days, subject to retention required by law and routine backup-rotation cycles.
12 · Modifications to the service
In plain English: we'll keep improving the product. If we remove something material, we'll tell you in advance.We may modify, add, or remove features of the Service from time to time. We will provide reasonable notice for material changes that adversely affect your use. We may modify these Terms; if we do, we will post the updated Terms with a new "Last updated" date and notify you by email or in-app message. Continued use after the effective date of the updated Terms constitutes acceptance.
13 · Governing law
In plain English: these Terms are governed by Delaware law.These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-laws principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
14 · Dispute resolution & arbitration
In plain English: most disputes go to private arbitration in Delaware. The exception is when one of us needs a court order to stop the other from misusing intellectual property — that can go straight to court.Any dispute, claim, or controversy arising out of or relating to these Terms or the Service will be resolved by binding arbitration administered by JAMS under its Streamlined Arbitration Rules then in effect. The seat of arbitration will be Wilmington, Delaware. Judgment on the award may be entered in any court of competent jurisdiction.
Carve-out. Either party may seek injunctive or equitable relief in a court of competent jurisdiction to protect its intellectual property rights or confidential information, without first proceeding to arbitration.
Class action waiver. Disputes will be brought only in an individual capacity, not as part of any class or representative proceeding.
15 · Force majeure
In plain English: if something genuinely outside our control breaks the service (war, earthquake, internet outage), we're not in breach for the duration.Neither party will be liable for any failure or delay in performance to the extent caused by circumstances beyond its reasonable control, including acts of God, war, terrorism, civil unrest, government action, labor disputes, internet or utility outages, pandemics, or third-party service-provider failures, provided the affected party uses reasonable efforts to resume performance.
16 · Severability
In plain English: if a court strikes down one clause, the rest still stands.If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect, and the unenforceable provision will be modified to the minimum extent necessary to make it enforceable while preserving its intent.
17 · Entire agreement
In plain English: this document, plus the AUP, Privacy Policy, and DPA (if applicable), is the whole agreement. No side promises count.These Terms, together with the Acceptable Use Policy, the Privacy Policy, and where applicable the Data Processing Addendum, constitute the entire agreement between you and Paitho regarding the Service and supersede all prior agreements, communications, and proposals, whether oral or written. No waiver of any provision will be effective unless in writing and signed by the waiving party. Any assignment by you without our prior written consent is void; we may assign these Terms in connection with a merger, acquisition, or sale of substantially all assets.
A human will read it. We answer within two business days. For security incidents, use security@paitho.ai; for abuse reports, abuse@paitho.ai.
